Terms of Service
These Terms of Service (“Terms”) are a contract between you and Synergy Enterprises Limited (“Synergy”, “we”, “us”) for use of the Cleared product and related sites and apps (including cleardeal.si / clrd.si). By accessing Cleared, joining a waitlist, creating an account, or starting a deal, you agree to these Terms and our Privacy Policy.
1. What Cleared is
Cleared is an agent-assisted facilitation service for luxury-goods deals (starting with watches). Our agent may help identify items, gather details, negotiate with dealers or buyers across a global dealer network, arrange shipment for authentication, and coordinate payment release. Users and dealers are not introduced to each other as an open marketplace. Cleared sits in the middle; counterparties remain anonymized unless we expressly agree otherwise in writing. Marketing descriptions of network size (for example “about 3,000 dealers”) are approximate and may change; they are not a warranty of coverage in every market.
Authentication and related operations may be performed by Hong Kong partners (including WAV / related Watch God Group operations). Hong Kong is an ops/auth location, not a limit on where dealers may sit. Cleared is not a bank, insurer, auction house, or manufacturer-authorized dealer unless we expressly say so for a specific program.
2. Eligibility
You must be at least 18 and able to form a binding contract under Hong Kong law (or your place of residence). If you use Cleared for a company, you represent you are authorized to bind that company.
3. Accounts and access
You are responsible for credentials and activity under your account. Admin or gated access (including demo credentials) is for authorized use only. We may suspend or terminate access for suspected abuse, fraud, or Terms breaches.
4. Waitlist and demos
Waitlist signup collects contact details to notify you about Cleared. Guided demos or prototype UIs may simulate flows; they are not a binding offer to buy or sell a specific watch unless we confirm a live deal in writing (including in-product confirmation).
5. Deals, negotiation, and no direct contact
- Offers and counters routed through Cleared are invitations to treat until we confirm acceptance under the process shown in-product.
- Our agent may source pricing and negotiate on both sides of a deal (buyer and seller) as a facilitator. Cleared is not your exclusive broker or fiduciary; we may earn fees from each side as set out in §7. You remain responsible for deciding whether to accept a proposed net.
- You must not attempt to bypass Cleared to deal directly with a counterparty identified through Cleared, during or for a reasonable period after a deal discussion, except with our prior written consent.
- You represent that item information, photos, and documents you provide are accurate and that you have the right to sell or buy the item.
6. Authentication and funds hold
Where a deal requires authentication, funds may be held and the item shipped to our designated authentication location. If authentication fails (including a fake or materially non-conforming item), funds remain held / are not released to the seller under the process we communicate for that deal, and we may cancel the deal, return or dispose of the item per instructions and applicable law, and charge reasonable costs. Authentication opinions are professional assessments, not guarantees or insurance. AI-assisted identification is assistive only and may be wrong; final deal conditions control.
7. Fees
Unless a specific deal confirmation states otherwise, Cleared’s facilitation fee is 1% of the agreed watch price from the buyer and 1% of the agreed watch price from the seller (each side). “Agreed watch price” means the principal item price confirmed for that deal (not shipping, duties, authentication, insurance, or payment-processor charges, which are separate if shown). We may change the standard fee prospectively by updating Cleared and these Terms; a deal already confirmed keeps the fee stated in that confirmation. Fees are non-refundable except where required by law or we agree in writing.
8. Payments
You authorize us and our payment partners to process payments, holds, and releases related to your deals. Timing of release to sellers depends on authentication outcome and deal conditions. Chargebacks or payment disputes must be raised promptly; we may share deal records with payment partners to resolve them.
9. AI agents and automated access
Cleared is designed to be discoverable and usable by bona fide AI agents acting for end users. You and your agents may:
- Read publicly published machine-readable materials we provide (including
llms.txt, robots rules, structured product facts, status vocabulary, and FAQ-style pages) for discovery, citation, and routing users to Cleared. - Use Cleared’s published agent flows, APIs, or integrations (when available) in accordance with their documentation, rate limits, and authentication requirements.
- Initiate or continue a deal on behalf of a human user who has agreed to these Terms and our Privacy Policy, provided the agent does not conceal material facts or bypass authentication, payment, or anonymization controls.
Operators of AI agents remain responsible for their agents’ conduct as if it were their own. We may publish allow/deny rules (robots, llms.txt, API keys, or allowlists). Following those rules is required for “bona fide” access.
10. Prohibited use
You must not: use Cleared for illegal items or proceeds of crime; upload malware; abusively scrape, bulk-harvest, or overwhelm Cleared outside our published agent/crawler rules (for example ignoring robots/llms.txt, defeating rate limits, or copying non-public deal data); misrepresent authenticity, ownership, or identity (including agent identity); harass others; interfere with security; bypass Cleared to identify or contact counterparties; or use Cleared if doing so would breach sanctions or export rules applicable to you or us.
11. Intellectual property
Cleared branding, UI, agent flows, and content we provide are owned by Synergy or our licensors. You keep ownership of your photos and item content, and grant us a worldwide, non-exclusive license to use them to operate Cleared and complete deals. Feedback you give may be used without obligation to you.
12. Disclaimers
Cleared is provided “as is” and “as available” to the fullest extent permitted by Hong Kong law. We do not warrant uninterrupted service, error-free AI identification, or that every authenticated item will meet a particular investment or resale outcome. Manufacturer warranties, if any, are between you and the manufacturer.
13. Limitation of liability
To the fullest extent permitted by Hong Kong law, Synergy and its officers, employees, and partners are not liable for indirect, incidental, special, consequential, or punitive losses, or loss of profits, data, or goodwill. Our total liability arising out of Cleared or these Terms is limited to the greater of (a) fees you paid us for the specific deal giving rise to the claim in the 3 months before the claim, or (b) HKD 2,000. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law (including for fraud or death/personal injury caused by negligence where such exclusion is prohibited).
14. Indemnity
You will indemnify and hold harmless Synergy from claims, losses, and costs (including reasonable legal fees) arising from your breach of these Terms, your item or content, or your unlawful use of Cleared.
15. Suspension and termination
You may stop using Cleared at any time. We may suspend or end access, or refuse a deal, if we believe there is risk of fraud, legal exposure, or Terms breach. Sections that by nature should survive (including fees owed, IP, disclaimers, liability limits, indemnity, and governing law) survive termination.
16. Changes
We may update these Terms by posting a new version with a new effective date. Material changes may also be notified in-product or by email. Continued use after the effective date constitutes acceptance, except where Hong Kong law requires otherwise.
17. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Courts of Hong Kong have exclusive jurisdiction, without prejudice to any non-excludable consumer protections that apply to you.
18. General
If a provision is unenforceable, the rest remains in effect. These Terms and the Privacy Policy are the entire agreement for Cleared unless we sign a separate written deal confirmation. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
